These Terms of Service (“Terms”) govern access to and use of Stabile: Loyalty Rewards Agent (the “Service”), provided by StabileRewards (“we”, “our”, or “us”) as a ChatGPT App and MCP (Model Context Protocol) server. By installing, connecting to, or invoking the Service — whether as a merchant, an end user, or through an AI agent acting on your behalf — you agree to these Terms. If you do not agree, do not use the Service.
Stabile exposes a set of tools that merchants and AI agents can invoke to work with loyalty rewards during agentic commerce. The tools currently include:

The Service may be updated, extended, or modified over time. We may add, change, or remove tools and features at our discretion.
You must be capable of forming a binding contract to use the Service. If you use the Service on behalf of a business, or authorize an AI agent to invoke the Service on your behalf, you represent that you have authority to bind that business and to accept these Terms, and that you are responsible for all activity conducted through your access.
Your use of the Service is subject to the StabileRewards Acceptable Use Policy, which is incorporated into these Terms by reference. Among other things, the AUP prohibits illegal activity, unauthorized money transmission, illicit finance, gaming or manipulation of reward allocation, security violations, and use for restricted goods or industries.

Reward options, predicted conversion and margin impact, and other figures returned by the Service are estimates generated from the inputs provided at request time. They are provided for decision support and do not constitute a guarantee of any economic result, reward value, or business outcome. You are responsible for reviewing and confirming any reward action before relying on it. Actual reward issuance and redemption depend on your own program configuration and the correctness of the data you supply.
Our handling of data received through the tools is described in our Privacy Policy. In summary, data is processed transiently at request time and no buyer personal data is persisted to any database or log by our MCP server. You are responsible for ensuring you have the rights and permissions necessary to submit any data you send to the Service.
The Service, including its tools, software, and documentation, is owned by StabileRewards and protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose. You may not copy, reverse-engineer, resell, or create derivative works of the Service except as permitted by law or the applicable open-source license accompanying any component.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any calculation, estimate, or output will be accurate or suitable for your purposes.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STABILEREWARDS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE. Our total aggregate liability for any claim relating to the Service will not exceed one hundred U.S. dollars (US$100) or the amount you paid us to use the Service in the twelve months preceding the claim, whichever is greater.
You agree to indemnify and hold harmless StabileRewards and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your violation of these Terms or the Acceptable Use Policy.
We may suspend or terminate your access to the Service at any time if you violate these Terms or the AUP, or if we reasonably believe your use poses a security, legal, or operational risk. You may stop using the Service at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
We may update these Terms from time to time. The effective date above reflects the most recent revision. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration or small-claims resolution will be the state or federal courts located in Delaware, and you consent to their jurisdiction.
